Shade Distribution LLC ("Shade Distribution," "we," "us") · Last updated: 7/31/2026

These terms govern your use of shadedist.com, our online design tool at design.shadedist.com, our customer portal, and your purchases from us. By using the sites or placing an order, you agree to them.

1. Ordering and acceptance
Your order is an offer to purchase; we accept it when we confirm it. We may cancel or refuse any order — including for suspected fraud, resale-term violations, or pricing errors. If we cancel a paid order, you receive a full refund.

Pricing errors: we work hard to keep pricing accurate, but if an item's listed price is plainly erroneous, we may cancel affected orders and refund you rather than honor the error.

2. Custom products and proof approval
Custom-printed products are produced from a digital proof you explicitly approve. Your approval is your acceptance of the design — including spelling, layout, dimensions, and specified colors — and authorizes production. After approval, custom items cannot be changed, cancelled, or returned except as provided in our Return & Refund Policy. On-screen colors vary by display; reasonable variation between preview and printed fabric is inherent to the process.

3. Your artwork
When you upload logos, images, or text to our design tool or quote form, you keep ownership of your artwork — and you promise us that:

you own it or have the right to use it (including trademarks and brand marks you place on products), and
it doesn't infringe anyone's rights or contain unlawful content.
You grant us a limited license to reproduce your artwork solely to produce your products, proofs, and mockups, and to store it for reorders. We display customer products in our marketing only with your permission — we'll ask. You are solely responsible for having the rights to what you print; you'll indemnify us against third-party claims arising from artwork you supplied.

4. Accounts
Our portal signs you in with email links rather than passwords. You're responsible for maintaining control of your email account and for activity under your sign-in. Keep your contact details accurate — proofs and shipping notices go there.

5. Volume pricing and dealer accounts
Public volume discounts apply automatically in the cart; they don't stack with other offers unless we say so.
Dealer accounts are granted at our discretion after application and review, and dealer pricing applies only while signed in to an approved account. Dealer status is for legitimate resale/trade use; we may revoke it at any time, including for resale-term violations or misrepresentation on an application. Dealer pricing, tiers, and eligibility can change with notice.
6. Shipping, risk, and delivery
Orders may ship in multiple shipments (frame hardware and printed fabric ship separately, on different schedules). Delivery estimates are good-faith estimates, not guarantees. Risk of loss passes to you on delivery by the carrier. Inspect shipments promptly and report transit damage per the Return & Refund Policy.

7. Warranty and disclaimers
Products carry the warranty in our Warranty Policy. EXCEPT AS STATED THERE, PRODUCTS AND THE SITES ARE PROVIDED "AS IS," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Pop-up shade products are temporary structures: never leave them standing in high wind or storms, and anchor them properly at all times. You are responsible for safe setup and use.

8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM AN ORDER OR THE SITES IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM, AND WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR EVENT COSTS). Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

9. Site content and conduct
The sites, their content, and our marks belong to us or our licensors. Don't misuse the sites: no scraping at scale, probing, interfering with service, or uploading malicious content. The design tool is provided for creating products with us.

10. Governing law and disputes
These terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Spokane County, Washington, and both parties consent to that venue. 

11. Changes
We may update these terms; the "Last updated" date reflects the current version. Material changes apply to orders placed after the change.
